End-User License Agreement

This EULA is a legal agreement between you ("User", "you", "your") and SlashHub Limited ("SlashHub", "we", "us", "our"), a private company limited by shares incorporated in Hong Kong (Business Registration BR-XXXXXXX), with registered office at [Registered Office Address, Hong Kong].

By installing, copying, or otherwise using the software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the software.

Subject to your compliance with this EULA, our Terms of Service, and the payment of any applicable Fees, SlashHub Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, and non-assignable license to install and use the object code of our client applications (web, mobile, desktop) on devices you own or control, solely for the purpose of accessing the Services.

The license is personal to you and may not be transferred to any other person. We may revoke this license at any time, with or without cause, by terminating your Account.

The Services comprise two distinct components, each governed by its own license:

(a) The Software — the client and server code, including but not limited to the web app, mobile app, backend APIs, and related documentation. This EULA governs your use of the Software.

(b) The AI Models — the pre-trained neural networks, model weights, embeddings, and other AI assets that power the AI Features. Your use of the AI Models is governed by §8 (AI Model Restrictions) of this EULA, not by a general "use" license.

Use of the AI Features is licensed for the purpose of receiving AI-generated output. It is NOT a license to (a) extract, copy, or redistribute the AI Models; (b) train derivative models; or (c) benchmark the AI Models in public without our prior written consent (see §9).

You may not (a) modify, translate, adapt, or create derivative works of the Software, except as expressly permitted by applicable law; (b) reverse-engineer, decompile, disassemble, or attempt to derive the source code, AI model weights, training data, or trade secrets of any Service, except to the extent expressly permitted by applicable law (e.g. for interoperability); (c) rent, lease, sublicense, lend, or otherwise transfer the Software; (d) remove or alter any proprietary notices, labels, or marks; (e) use the Software to develop a competing product or to train a competing AI model; (f) bypass or attempt to bypass any security measure, rate limit, IP allow-list, or credit cap; (g) use the Software in violation of any applicable law or third-party right; (h) upload malicious code or content that contains malware; (i) perform any systematic benchmarking of the AI Models without our prior written consent (see §9); (j) extract the AI Model weights via model-stealing, distillation, or similar techniques; or (k) assist any third party to do any of the foregoing.

The Software and the AI Models are licensed, not sold. SlashHub Limited and its licensors retain all right, title, and interest in and to the Software and the AI Models, including all intellectual property rights (copyrights, patents, trade secrets, trademarks, database rights) and all proprietary algorithms, data structures, and AI training data. No rights are granted to you other than those expressly set forth in this EULA.

Some of our technology (including AI model weights, training data, and certain algorithms) constitutes trade secrets. You agree to maintain the confidentiality of our trade secrets and to use them only as expressly permitted by this EULA. The obligations in this section survive termination of this EULA for so long as the information remains a trade secret.

If you provide us with any feedback, suggestions, or ideas about the Software or the Services ("Feedback"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, and incorporate the Feedback into our products and services without any obligation to you. We are not required to keep Feedback confidential.

The Software may include third-party open-source components (e.g. Next.js, React, NestJS, Drizzle, Firebase, Stripe, ioredis, Lucide icons). Such components are governed by their respective open-source licences, which are listed in the THIRD_PARTY_LICENSES file shipped with each release. Nothing in this EULA limits your rights under those licences.

To the extent any third-party component is governed by a licence that conflicts with this EULA, the third-party licence controls with respect to that component only.

The AI Models include the pre-trained weights, embeddings, and fine-tuning data for the large language models, embedding models, and other AI systems used by the Services. The AI Models are protected by copyright, trade secret, and database-right laws.

You may not (a) extract, download, or copy the AI Model weights, embeddings, or training data; (b) fine-tune, retrain, or otherwise create derivative versions of the AI Models; (c) use the AI Models to train or improve any competing AI model; (d) perform model-stealing, model-extraction, or model-distillation attacks on the AI Models; (e) redistribute the AI Models or any derivative works; or (f) circumvent any technical measure we use to protect the AI Models.

You may use the AI Models solely through the Services, and only as documented. You may not attempt to access the AI Models by any means other than the documented APIs.

You may not perform systematic benchmarking or evaluation of the AI Models (including any AI Feature) for the purpose of (a) publishing a comparison with a competing product; (b) academic research without our prior written consent; (c) regulatory disclosure; or (d) any other public disclosure, without our prior written consent.

To request benchmarking consent, contact legal@slashhub.hk with a description of (i) the methodology, (ii) the datasets used, (iii) the publication venue, and (iv) the timeline. We will respond within 30 days.

Notwithstanding the above, you may quote our published benchmark scores and public marketing materials for legitimate comparative advertising, subject to our trademark guidelines.

SlashHub Limited may from time to time provide updates, patches, or new versions of the Software ("Updates"). Updates replace or supplement the prior version. Your continued use of the Software after an Update constitutes acceptance of the updated terms accompanying that release. We will give you at least 30 days notice for material Updates that introduce breaking changes.

We may also automatically push Updates to the client and server components. You may not block automatic Updates except as permitted by applicable law.

This EULA remains in effect from the date you first install or use the Software until terminated. It terminates automatically upon (a) your breach of any provision; (b) termination of your Account; (c) termination of our Terms of Service; or (d) our termination of the Services.

You may terminate this EULA at any time by uninstalling the Software and closing your Account. We may terminate this EULA at any time, with or without cause, by terminating your Account.

Upon termination, you must uninstall and destroy all copies of the Software in your possession or control, and cease all use of the AI Models. Sections 4, 5, 7, 8, 11, 12, 13, 14, and 16 survive termination.

THE SOFTWARE AND THE AI MODELS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI-GENERATED CONTENT, AND FREEDOM FROM MALWARE. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE AI MODELS WILL PRODUCE ACCURATE OR FIT-FOR-PURPOSE OUTPUT.

Some jurisdictions do not allow the exclusion of certain warranties; in such cases, the exclusions above apply to the maximum extent permitted by applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SLASHHUB LIMITED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS EULA, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SLASHHUB LIMITED'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (b) HKD 1,000.

Some jurisdictions do not allow the limitation of liability for certain damages; in such cases, the limitations above apply to the maximum extent permitted by applicable law.

You may not use, export, re-export, or transfer the Software in violation of any applicable export-control or sanctions laws, including but not limited to the U.S. Export Administration Regulations, the U.S. International Traffic in Arms Regulations, the EU Dual-Use Regulation, the UK Strategic Export Control Lists, the Hong Kong Import and Export Ordinance (Cap. 60), and UN Security Council sanctions.

You represent and warrant that (a) you are not located in a country subject to comprehensive sanctions; (b) you are not on any restricted-party list (including the U.S. Denied Persons List, Entity List, Specially Designated Nationals, the EU Consolidated List, the UK Consolidated List, or the UN Consolidated List); and (c) you will not use the Software for any prohibited end-use under applicable export-control laws. The AI Models are subject to U.S. EAR ECCN 4D994 (encryption-related) and may require export licences for distribution outside the United States.

If you are a U.S. Government end user, the Software is a "commercial item" as defined in 48 C.F.R. §2.101, consisting of "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. §12.212. Consistent with 48 C.F.R. §12.212 and 48 C.F.R. §§227.7202-1 through 227.7202-4, you acquire only those rights with respect to the Software that are granted to all other end users under this EULA.

If you are a non-U.S. government end user, the rights granted to you are limited to those expressly granted in this EULA, except where inconsistent with applicable law.

Notwithstanding anything to the contrary, certain portions of the Software may be available in source-code form under open-source licences. Your use of such source code is governed by the applicable open-source licence, not by this EULA. Nothing in this EULA restricts your rights under any open-source licence applicable to such source code.
